CONSTITUTION

This is the Constitution of the Nutmeg Division of the Northeastern Region of the National Model Railroad Association.

In this Constitution, “Nutmeg Division” means the Nutmeg Division of the Northeastern Region of the National Model Railroad Association, “NER” means the Northeastern Region of the National Model Railroad Association, “NMRA” means the National Model Railroad Association and “Member” means a member of the Nutmeg Division who is in good standing.

Article I: Name and Purpose

Section 1:       The name of this organization shall be the “Nutmeg Division of the Northeastern Region of the National Model Railroad Association.”

Section 2:       The purpose of the Nutmeg Division shall be to foster model railroading activities on the division level and to promote the objectives of the NER and NMRA.

 

Article II. Membership

Section 1:       Any person who is a member of the NMRA and resides in the state of Connecticut (other than in Fairfield County) or in Hampshire County or Hampden County, Massachusetts, shall be considered a Member of the Nutmeg Division. Any person who is a member of the NMRA but does not reside within the boundaries of the Nutmeg Division shall also be considered a Member upon written request made to and approved by the Nutmeg Division’s Board of Directors (the “Board”). Members shall be encouraged to join the NER, although membership in the NER is not required.

Section 2:       To be in good standing, a Member shall attend the Annual Meeting or at least one Special Meeting of the Members during each calendar year. “Annual Meeting” and “Special Meeting” are described and defined in the Nutmeg Division’s Bylaws.

Section 3:       Any person who is interested in model railroading but who is not a member of the NMRA shall be considered a “Friend” of the Nutmeg Division. Friends of the Nutmeg Division may attend meetings of the Members but may not vote on any matter coming before the meeting, serve as an officer or Director of the Nutmeg Division or participate in any activity requiring NMRA membership, including, but not limited to, contests and Achievement Programs.

 

Article III. Governance

Section 1:       The Nutmeg Division shall be governed by its Board, which shall comprise three Directors, each of whom shall be a Member in good standing of the Nutmeg Division, NER and NMRA.

Section 2:       Provisions describing the election or appointment (as applicable), terms of office and duties of the Nutmeg Division’s officers and Directors; establishment of committees; and meetings of the Members are set forth in the Nutmeg Division’s Bylaws, to which provisions reference is hereby made.

 

Article IV. Amendment

Section 1:       This Constitution may be amended by a two-thirds affirmative vote of the Members at the Annual Meeting or at any Special Meeting called for such purpose, provided that there is a quorum present at the meeting and the proposed amendment has been submitted in writing to and approved by a two-thirds vote of the Directors prior to the Members’ meeting. No fewer than 30 days prior to the meeting, the Secretary shall notify all Members by first class mail or by email or other electronic means of the date, time, location and purpose of the meeting.

Section 2:       The Superintendent shall appoint a constitutional committee every ten years to review this Constitution and make recommendations for amendments thereto.

 

Article V. Compliance With NER and NMRA

Section 1:       All activities of the Nutmeg Division shall comply with the Constitution and Bylaws of the NER and NMRA. Any conflict between any provision of this Constitution and any provision of the Bylaws or Constitution of the NER or NMRA shall be resolved in favor of the NER or NMRA(as applicable).

 

Article VI. Inactivity; Existence

Section 1:       Should the Nutmeg Division become inactive or cease to exist, any remaining funds in its treasury shall be turned over to the NER Treasurer for safekeeping pending the reactivation or re-establishment of the Nutmeg Division.
